Terms of Service Agreement

Effective Date: Jan 1, 2025

Welcome to The Vault Buildings. By subscribing to our virtual office services, you ("Client") agree to the following terms and conditions:

1. Services Provided

We provide Clients with a virtual office address, mail handling services, and access to physical meeting spaces. Each subscription includes six (6) hours of conference room time per month, bookable online. Additional hours are available at the current rate posted on the booking webpage.

2. Use of Address

Clients are permitted to use our physical address for marketing purposes, including websites, business cards, Google listings, Yelp profiles, and similar platforms, during the active term of their subscription.

Termination of Subscription: Upon termination, the Client’s right to use the address immediately ceases. Any continued use of the address post-termination is prohibited. We reserve the right to notify relevant platforms (e.g., Google, Yelp) to remove the address from the Client’s profiles if misuse occurs.

3. Mail Handling

Mail and packages will be received and held for pickup. Clients have 24/7 access to retrieve their mail using the fob provided. Uncollected mail will be held for up to 90 days during an active subscription. If the subscription is terminated, uncollected mail will be held for up to 30 days before being returned to the sender or securely disposed of at our discretion.

4. Keys and Fobs

Clients will be issued a mailbox key and two (2) fobs for building access. Upon termination, these items must be returned within ten (10) business days. Failure to return the keys and fobs will result in a $100 replacement fee, which will be charged to the Client’s account.

5. Subscription Termination

Clients may terminate their subscription at any time by providing written notice. Cancellation will take effect at the next billing cycle. We will not retroactively apply cancellations or refund any past billing if the cancellation notice is submitted after the billing date. We reserve the right to terminate services for violations of these terms or misuse of our facilities.

6. Limitation of Liability

We are not liable for any losses or damages resulting from the use of our address, mail handling services, or facilities. Clients are solely responsible for their business operations and compliance with applicable laws.

7. Modification of Terms

We reserve the right to update or modify these terms at any time. Clients will be notified of changes via email or website posting. Continued use of our services constitutes acceptance of the revised terms.

8. Governing Law

This agreement is governed by the laws of the State of Florida.

By subscribing to our services, you acknowledge that you have read, understood, and agreed to these Terms of Service.

By submitting your payment for a tenant panel on the new Vault Buildings Pylon Sign, you acknowledge and agree to the following terms and conditions:

1. Refund Policy

If the sign does not receive municipal approval or is not installed, all payments, including deposits and prepaid annual fees, will be fully refunded. No refunds will be issued once the sign is installed and operational.

2. Municipal Approvals & Installation

While we do not anticipate any obstacles, final installation is subject to municipal approval and permitting requirements. There is no guarantee that the sign will receive approval, but we will work in good faith to complete the process.

3. Placement & Tier Selection

Placement on the sign is first-come, first-served. Annual plan purchasers receive priority selection of placement within their purchased tier. Monthly subscribers will be assigned placement by management within their selected tier. Placement is not guaranteed and may be adjusted based on availability, sign design, or municipal restrictions.

4. Term & Subscription

This is a one-year agreement that runs concurrent with the tenant’s lease. If the lease is not renewed, the sign panel must be removed, and the space will be made available to new tenants.

Monthly subscribers must keep their account in good standing (i.e., no missed payments) to retain their sign placement. The sign’s monthly or annual fee will be added to the tenant’s lease as additional rent and will be subject to the same terms, conditions, and remedies applicable to rent, including annual rent increases as outlined in the tenant’s lease agreement.

5. Design & Production

The business owner is responsible for providing a print-ready sign design. We will provide a basic sign with the business name, but tenants may work with a sign designer for a custom look. Signs must meet size, color, and aesthetic guidelines to maintain the uniformity of the multi-tenant display.

6. Liability & Maintenance

While the sign will be professionally installed and maintained, we are not responsible for damage due to weather, vandalism, or unforeseen events. If the tenant sign panel becomes damaged or faded over time, the tenant is responsible for replacing it at their own cost.

7. Termination & Cancellations

Monthly subscribers may cancel at any time with a 30-day written notice, but no refunds will be issued for past payments. Annual plan subscribers who cancel early will not receive a refund but will retain their placement for the remainder of the paid term. If a tenant fails to make payments, their sign panel will be removed, and the space will be made available to another tenant.

8. Changes to Terms

These terms and conditions are subject to change at any time without prior notice. Updated versions will be made available to tenants, and continued participation constitutes acceptance of the revised terms.
