Commercial Premises License Agreement

(For Virtual Office and Shared Workspace Use) Effective Date: January 1, 2025

This Commercial Premises License Agreement (“Agreement”) is made between The Vault Buildings (“Licensor”) and the undersigned client (“Licensee”). By entering into this Agreement and paying the associated license fee, Licensee is granted limited rights to use designated portions of Licensor’s commercial premises as set forth below.

1. Grant of License

Licensor hereby grants Licensee a revocable, non-exclusive license to use designated areas within the commercial property known as The Vault Buildings for legitimate business purposes. The licensed areas include:

1. A designated physical mailbox within the building

2. The right to use Licensor’s commercial street address as Licensee’s business address.

3. Non-exclusive, scheduled access to conference rooms and shared workspace areas.

This Agreement does not convey any leasehold interest, title, or tenancy in the property. It is strictly a commercial license to use real property.

2. Licensed Use of Business Address

Licensee is permitted to use the building’s physical address as its official business address for marketing, licensing, filings, and public listings (including websites, Google Business Profiles, Yelp, business cards, and similar platforms) during the term of this Agreement.

Upon termination of this Agreement:

Licensee’s rights to the address immediately cease; Continued use of the address is prohibited; Licensor may notify appropriate platforms to remove or update any listings reflecting improper or continued address use.

3. Mail and Package License

As part of the license, Licensee may receive mail and packages at the premises. Licensee will be assigned a physical mailbox and will have 24/7 controlled-access entry to retrieve mail.

Uncollected mail will be handled as follows:

Up to 90 days of retention during an active license term; Up to 30 days after termination, after which mail may be returned or securely disposed of at Licensor’s discretion.

4. Access Credentials (Keys and Fobs)

Licensor will provide Licensee with a mailbox key and two (2) electronic access fobs for building entry. Upon termination, Licensee must return all issued items within ten (10) business days. Failure to return keys or fobs will result in a $100 replacement and reprogramming fee.

5. Conference Room and Shared Workspace Access

Licensee is granted six (6) hours per month of reserved access to designated conference rooms, as part of the licensed premises.

Reservations are required and subject to availability. Additional conference room hours may be licensed at the current posted rates.

All use of the premises must comply with Licensor’s building rules, occupancy limits, and any operational guidelines posted online or within the facility.

6. Term, Fees, and Termination

This Agreement operates on a month-to-month license term.

The licensee may terminate

The licensee may terminate at any time by providing written notice. Termination becomes effective at the next billing cycle. No refunds will be issued for billing cycles already in progress.

Licensor may terminate

Licensor may immediately revoke this license for:

Violation of building rules; Misuse of the address or premises; Failure to comply with this Agreement; or any conduct deemed unsafe or disruptive.

7. Nature of Agreement

This Agreement:

Is not a lease, sublease, rental agreement, workspace membership, or service contract; Is a license for use of commercial real property under Florida law; Creates no landlord-tenant relationship; Grants no exclusive possession except for the designated mailbox.

8. Limitation of Liability

Licensee uses the licensed premises at their own risk. Licensor is not liable for:

Loss, theft, or damage to mail, property, or equipment; Business losses resulting from access restrictions or operational issues; Any claims arising from Licensee’s business activities.

Licensee is solely responsible for complying with all federal, state, and local laws governing their operations.

9. Modifications to Agreement

Licensor may update or modify this Agreement with reasonable notice via email or website posting. Continued use of the licensed premises constitutes acceptance of any revised terms.

10. Governing Law

This Agreement is governed by and interpreted under the laws of the State of Florida.

Acknowledgment

By signing or electronically agreeing, Licensee acknowledges that they have read, understand, and accept the terms of this Commercial Premises License Agreement.

By submitting your payment for a tenant panel on the new Vault Buildings Pylon Sign, you acknowledge and agree to the following terms and conditions:

1. Refund Policy

If the sign does not receive municipal approval, is not installed, or is required to be removed due to permitting or municipal approval issues, any unused prepaid portion of the sign fee will be refunded. Any unbilled monthly amounts will not be charged. No refunds will be issued for any period during which the sign was installed and operational.

Production, installation, and fabrication fees are non-refundable once work has commenced.

2. Municipal Approvals, Permitting & Installation

Final installation and continued use of the sign may be subject to municipal approval, permitting requirements, property restrictions, or other regulatory matters. While we will work in good faith to complete and maintain the sign, there is no guarantee that the sign will receive or maintain approval, or that it will remain installed without modification.

If the sign must be removed, modified, or discontinued due to municipal, permitting, regulatory, or property-related issues, tenant billing will stop as of the effective removal or discontinuation date, and any unused prepaid portion of the sign fee will be refunded.

3. Placement & Tier Selection

Placement on the sign is first-come, first-served. Annual plan purchasers receive priority selection of placement within their purchased tier. Monthly subscribers will be assigned placement by management within their selected tier. Placement is not guaranteed and may be adjusted based on availability, sign design, or municipal restrictions.

4. Term, Subscription & Renewal

This is a one-year agreement that runs concurrent with the tenant's lease. If the lease expires, is terminated, or is not renewed, the sign panel must be removed, and the space will be made available to other tenants.

The annual fee offered for sign placement is an introductory rate applicable to the first year only.

In subsequent years, the sign fee shall revert to the standard monthly rate for the tenant's selected tier, billed monthly, at the terms established by management at the time of renewal.

All sign fees are considered part of the tenant's lease obligations and may be treated as additional rent, subject to the terms and conditions outlined in the tenant's lease agreement.

Monthly subscribers must keep their account in good standing (i.e., no missed payments) to retain their sign placement.

To maintain placement on the sign beyond the initial term, tenants must confirm their intent to renew in advance of expiration. Annual plan subscribers must renew and submit payment for the upcoming term at least thirty (30) days prior to their expiration date. Monthly subscribers must provide at least thirty (30) days' written notice of their intent to continue.

If renewal confirmation and, where applicable, payment are not received within the required timeframe, the sign space may be released and made available to other tenants without further notice. Management reserves the right to offer or pre-lease any sign space to other tenants if renewal confirmation is not received within the required timeframe.

5. Design, Production & Installation

A one-time production and installation fee of $300 is required for each sign panel and is due prior to fabrication. This fee covers the production, installation, and initial setup of the tenant's sign panel.

The business owner is responsible for providing a print-ready sign design. If a print-ready design is not provided, management may provide a basic sign displaying the business name. Tenants may also work with a sign designer to create a custom design at their own expense.

Signs must meet size, color, and aesthetic guidelines established by management to maintain the uniformity and professional appearance of the multi-tenant display.

The production and installation fee is non-refundable once fabrication of the sign panel has commenced.

6. Liability & Maintenance

While the sign will be professionally installed and maintained, we are not responsible for damage due to weather, vandalism, or unforeseen events. If the tenant sign panel becomes damaged, faded, or requires updating, the tenant is responsible for replacement costs.

7. Termination & Cancellations

Early Termination

If a tenant's lease expires, is terminated, or is otherwise ended prior to the expiration of the sign term, the tenant's sign panel shall be removed and the sign agreement shall automatically terminate. Any unused prepaid sign fees shall be non-refundable.

For tenants who paid a sign deposit prior to installation, such deposit shall automatically convert to and become part of the tenant's lease security deposit upon installation of the sign panel and shall thereafter be governed by the terms of the lease agreement.

No refund of prepaid sign fees shall be provided in the event of early termination.

Monthly subscribers may cancel at any time with a thirty (30) day written notice, but no refunds will be issued for past payments.

Annual plan subscribers who voluntarily cancel their sign subscription during an active lease term will not receive a refund but may retain their placement for the remainder of the paid term, provided they remain a tenant in good standing.

If a tenant fails to make payments, their sign panel will be removed, and the space will be made available to another tenant.

8. Changes to Terms

These terms and conditions are subject to change at any time without prior notice. Updated versions will be made available to tenants, and continued participation constitutes acceptance of the revised terms.
