

Commercial Premises License Agreement
(For Virtual Office and Shared Workspace Use) Effective Date: January 1, 2025
This Commercial Premises License Agreement (“Agreement”) is made between The Vault Buildings (“Licensor”) and the undersigned client (“Licensee”). By entering into this Agreement and paying the associated license fee, Licensee is granted limited rights to use designated portions of Licensor’s commercial premises as set forth below.
1. Grant of License
Licensor hereby grants Licensee a revocable, non-exclusive license to use designated areas within the commercial property known as The Vault Buildings for legitimate business purposes. The licensed areas include:
1. A designated physical mailbox within the building
2. The right to use Licensor’s commercial street address as Licensee’s business address.
3. Non-exclusive, scheduled access to conference rooms and shared workspace areas.
This Agreement does not convey any leasehold interest, title, or tenancy in the property. It is strictly a commercial license to use real property.
2. Licensed Use of Business Address
Licensee is permitted to use the building’s physical address as its official business address for marketing, licensing, filings, and public listings (including websites, Google Business Profiles, Yelp, business cards, and similar platforms) during the term of this Agreement.
Upon termination of this Agreement:
Licensee’s rights to the address immediately cease; Continued use of the address is prohibited; Licensor may notify appropriate platforms to remove or update any listings reflecting improper or continued address use.
3. Mail and Package License
As part of the license, Licensee may receive mail and packages at the premises. Licensee will be assigned a physical mailbox and will have 24/7 controlled-access entry to retrieve mail.
Uncollected mail will be handled as follows:
Up to 90 days of retention during an active license term; Up to 30 days after termination, after which mail may be returned or securely disposed of at Licensor’s discretion.
4. Access Credentials (Keys and Fobs)
Licensor will provide Licensee with a mailbox key and two (2) electronic access fobs for building entry. Upon termination, Licensee must return all issued items within ten (10) business days. Failure to return keys or fobs will result in a $100 replacement and reprogramming fee.
5. Conference Room and Shared Workspace Access
Licensee is granted six (6) hours per month of reserved access to designated conference rooms, as part of the licensed premises.
Reservations are required and subject to availability. Additional conference room hours may be licensed at the current posted rates.
All use of the premises must comply with Licensor’s building rules, occupancy limits, and any operational guidelines posted online or within the facility.
6. Term, Fees, and Termination
This Agreement operates on a month-to-month license term.
The licensee may terminate
The licensee may terminate at any time by providing written notice. Termination becomes effective at the next billing cycle. No refunds will be issued for billing cycles already in progress.
Licensor may terminate
Licensor may immediately revoke this license for:
Violation of building rules; Misuse of the address or premises; Failure to comply with this Agreement; or any conduct deemed unsafe or disruptive.
7. Nature of Agreement
This Agreement:
Is not a lease, sublease, rental agreement, workspace membership, or service contract; Is a license for use of commercial real property under Florida law; Creates no landlord-tenant relationship; Grants no exclusive possession except for the designated mailbox.
8. Limitation of Liability
Licensee uses the licensed premises at their own risk. Licensor is not liable for:
Loss, theft, or damage to mail, property, or equipment; Business losses resulting from access restrictions or operational issues; Any claims arising from Licensee’s business activities.
Licensee is solely responsible for complying with all federal, state, and local laws governing their operations.
9. Modifications to Agreement
Licensor may update or modify this Agreement with reasonable notice via email or website posting. Continued use of the licensed premises constitutes acceptance of any revised terms.
10. Governing Law
This Agreement is governed by and interpreted under the laws of the State of Florida.
Acknowledgment
By signing or electronically agreeing, Licensee acknowledges that they have read, understand, and accept the terms of this Commercial Premises License Agreement.
